By accessing or using the services provided by Based Tech Syndicate, doing business as Viduli (“Viduli,” “we,” “us,” or “our”), including our websites, applications, and any related services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Services.

These Terms constitute a legally binding agreement between you and Viduli. You affirm that you are of legal age and have the authority to enter into this agreement.

2. Service Usage

2.1 Account Registration

To access certain features of our Services, you may be required to create an account. By registering, you agree to:

Provide accurate, current, and complete information as requested;
Maintain the confidentiality and security of your login credentials;
Accept full responsibility for all activities that occur under your account;
Promptly notify us of any unauthorized use or security breach;
Be at least 18 years of age or the age of majority in your jurisdiction.

We reserve the right to suspend or terminate your account if any information provided is found to be false, misleading, or incomplete.

2.2 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

Infringe or misappropriate any intellectual property or proprietary rights;
Upload, post, transmit, or otherwise make available any harmful, malicious, or disruptive content, including malware, viruses, or similar code;
Attempt to gain unauthorized access to any portion of the Services, accounts, or systems;
Use the Services to harass, abuse, defame, or impersonate others;
Engage in spamming, phishing, or any other unsolicited or unauthorized marketing.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions.

3. Payment Terms

All prices and fees for the Services are subject to change with prior notice.
By subscribing or making purchases through the Services, you agree to pay all applicable charges at the rates in effect at the time of purchase.
All payments are final and non-refundable, except as required by applicable law.
If you sign up for a recurring subscription, your payment method will be charged automatically at the beginning of each billing cycle unless you cancel your subscription before the renewal date.
You are responsible for all taxes, levies, or duties imposed by taxing authorities, excluding taxes based on our income.

4. Intellectual Property

All intellectual property rights in the Viduli Services — including but not limited to the platform software, underlying infrastructure, user interface, site content, and branding (collectively, the “Viduli Materials”) — are and shall remain the sole and exclusive property of Based Tech Syndicate and are protected by applicable intellectual property laws.
User Content. You retain all ownership rights to any code, data, applications, or other content you upload, submit, or run through the Services (“User Content”). By uploading or deploying User Content, you grant Viduli a limited, non-exclusive, worldwide, royalty-free license to host, execute, and display such content solely for the purpose of providing the Services to you.
You represent and warrant that you have the necessary rights, licenses, and permissions to use and upload User Content and that it does not infringe the rights of any third party or violate applicable law.
By submitting feedback, ideas, or suggestions regarding the Services, you agree that we may use, modify, and incorporate them without restriction or compensation.

5. Limitation of Liability

The Services are provided on an “as-is” and “as-available” basis without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components.
To the maximum extent permitted by law, we disclaim all liability for any indirect, incidental, consequential, or punitive damages arising from or related to your use of the Services.
In no event shall our aggregate liability exceed the total amount paid by you to us for the Services during the six (6) months preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you.

6. Termination

We reserve the right, in our sole discretion, to:

Suspend or terminate your access to the Services at any time and for any reason, including for violation of these Terms;
Modify or discontinue the Services, or any part thereof, at any time with or without notice;
Remove any content submitted or posted by you without prior notice or liability.

Upon termination, your right to access or use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Changes to Terms

We reserve the right to revise or update these Terms at any time, in our sole discretion. When changes are made, the “Last Updated” date at the top of this document will be revised accordingly. You are responsible for reviewing the Terms regularly. Continued use of the Services after such changes constitutes your acceptance of the new Terms.

In the event of material changes, we will provide additional notice via email or a prominent notice on our website.
